1. Agreement to Terms & Definitions

These Terms of Service ("Agreement") constitute a legally binding contract between Mivikron Solutions Private Limited, a company registered in India ("we", "us", or "our"), and the individual or legal entity ("Customer", "you", or "your") accessing or using the Basalix platform, API, widgets, and associated services (collectively, the "Services"). By registering an account or accessing the Services, you agree to be bound by this Agreement.

2. Access and Use of the Services

2.1 Provision of Services: Subject to your compliance with this Agreement, Mivikron Solutions Private Limited grants you a non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

2.2 Acceptable Use Policy: You shall not: (a) sublicense, sell, or lease the Services; (b) use the Services to store or transmit infringing, libelous, or otherwise unlawful material; (c) interfere with or disrupt the integrity or performance of the Services; (d) attempt to gain unauthorized access to the Services, our multi-tenant database architecture, or related systems; or (e) reverse engineer the Services or AI pipeline.

3. Customer Data and AI Processing

3.1 Ownership: You retain all rights, title, and interest in and to all documents, URLs, text, and data submitted to the Services ("Customer Data").

3.2 License to Process: You grant Mivikron Solutions Private Limited a limited, worldwide, royalty-free license to host, parse, vectorize (embed), and process Customer Data solely to provide, secure, and support the Services.

3.3 AI & RAG Processing: Basalix utilizes Retrieval-Augmented Generation (RAG) and third-party Large Language Models (LLMs). We ensure that our LLM providers (e.g., Google, OpenAI, Anthropic) process your Customer Data under "Zero Data Retention" policies via API. Your Customer Data is never used to train public foundational AI models.

3.4 Probabilistic Outputs: You acknowledge that AI-generated responses ("Outputs") are probabilistic. Mivikron Solutions Private Limited does not guarantee the accuracy, factual correctness, or reliability of any Output. Outputs should be independently verified before being relied upon for critical business or legal decisions.

4. Fees and Payment

4.1 Subscription Fees: You agree to pay all applicable fees specified in your selected subscription plan. Fees are non-refundable except as required by law.

4.2 Taxes: All fees are exclusive of applicable taxes, including GST, which will be added to your invoice as required by Indian law.

5. Confidentiality

Each party ("Receiving Party") agrees to protect the confidential information of the other party ("Disclosing Party") from unauthorized use, access, or disclosure. Customer Data is considered your Confidential Information. Our codebase, API design, and pricing structures are considered Mivikron Solutions Private Limited's Confidential Information.

6. Intellectual Property Rights

Mivikron Solutions Private Limited retains all rights, title, and interest (including all intellectual property rights) in and to the Basalix platform, technology, templates, widgets, and any underlying software. No rights are granted to you other than as expressly set forth herein.

7. Warranties and Disclaimers

THE SERVICES AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." MIVIKRON SOLUTIONS PRIVATE LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Indemnification

You agree to defend, indemnify, and hold harmless Mivikron Solutions Private Limited from any claims, damages, or losses arising from (a) your use of the Services in violation of this Agreement; or (b) any claim that your Customer Data infringes the intellectual property or privacy rights of a third party.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MIVIKRON SOLUTIONS PRIVATE LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. MIVIKRON SOLUTIONS PRIVATE LIMITED’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Term and Termination

This Agreement commences on the date you accept it and continues until your subscription expires or is terminated. Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within 30 days of written notice. Upon termination, you will lose access to the Services, and we will delete your Customer Data in accordance with our retention policies.

11. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Nashik, Maharashtra.
